Company Registration in Bulgaria for Foreigners

Bulgaria lets foreign citizens – from the EU and from outside it – own and manage a limited company. We prepare the documents, register the company and keep its accounts from the first day.

What you need

  • A valid passport of every owner and manager
  • A registered office address in Bulgaria (you do not need a personal address here)
  • Documents signed abroad – power of attorney, specimen signature, declarations – with an apostille or legalisation and a certified Bulgarian translation
  • A minimum share capital of 1 €, paid into a Bulgarian bank account

How it works

  1. We discuss the legal form (EOOD or OOD), the business activity and the address
  2. We prepare the documents and tell you which ones to sign and certify
  3. You sign in Bulgaria or abroad with a notarised power of attorney; the bank may ask to meet the owner once
  4. We file with the Commercial Register and, if needed, register the company for VAT

Frequently asked questions

Can a non-EU citizen own and manage a Bulgarian company?

Yes. Citizenship is not a restriction for owning or managing an EOOD or OOD. You do not need a Bulgarian co-owner or a Bulgarian manager.

Can the registration be done remotely?

In most cases yes, through a notarised power of attorney with an apostille and a certified translation. Banks may require the owner to appear in person once to open the account.

What taxes does a Bulgarian company pay?

Corporate income tax is 10%. Dividends paid to individuals are taxed at 5%. VAT is 20%, and VAT registration is mandatory once taxable turnover in a calendar year exceeds 51 130 €.

Does owning a company give me the right to live in Bulgaria?

No, not by itself. Owning or managing a company from abroad does not require a residence permit, but living in Bulgaria does. The conditions depend on your situation – Doychin Mehov will explain them when you talk.
